A first turn in minutes, not days
Your agent can propose your paper, or read the counterparty's, and mark each clause as matching, near a fallback, or outside your playbook before anyone opens a document.
Solutions · Legal & contracts
Twixt is being built so your legal agent can exchange an NDA or standard agreement with the other side's agent, accept edits that match positions counsel has already approved, counter with your fallbacks, and stop at the first piece of language nobody has seen before.
Why agents
Most commercial paper turns on the same few points: confidentiality term, carve-outs, governing law, liability caps, non-solicitation. Once counsel has decided where you stand on each, an agent can hold that line in every negotiation, and your lawyers read only what is genuinely new.
01
Your agent can propose your paper, or read the counterparty's, and mark each clause as matching, near a fallback, or outside your playbook before anyone opens a document.
02
If the other side rejects your preferred wording, your agent offers the next position counsel approved, one step at a time, and never jumps past the walk-away point.
03
Every proposal, redline and acceptance is co-signed by both agents, so there is no argument later about which draft was agreed or who changed clause 7.
How it would run
Counsel writes the playbook once. After that, each exchange follows it clause by clause, and the agent stops wherever the playbook goes quiet.
Step 1
Both agents confirm who they act for, then settle whether to start from your template or theirs. Twixt checks each organisation is verified before a single draft is sent.
Step 2
Each clause is tagged against the playbook: your preferred wording, an approved fallback, or something that matches neither. The unmatched ones are listed for counsel with the surrounding text.
Step 3
For clauses both sides can live with, the agents exchange fallbacks: two years instead of five, mutual instead of one-way, an extra carve-out for independently developed information.
Step 4
The agreed text goes to the person on each side who is authorised to sign that type of agreement. Their signature, not the agent's, is what makes it binding.
People stay in charge
A legal agent has no opinions of its own. It applies the stances your lawyers wrote down and treats anything else as a question for them.
| Condition | Route |
|---|---|
| Clause matches preferred wording | Accepted by the agent and logged |
| Clause matches an approved fallback | Accepted; fallback noted for counsel's weekly review |
| Clause text the playbook has never seen | Held for a lawyer's ruling |
| Liability cap, indemnity or IP terms touched | Senior counsel only |
| All clauses agreed | Sent to the authorised signatory |
FAQ
No. It can only accept text that matches a position in your playbook. Anything else is held and shown to counsel, with the clause and the other side's reasoning attached.
High-volume, mostly standard paper first: NDAs, data processing addenda, standard vendor and reseller terms. Bespoke deals still belong with your lawyers from the first draft.
Twixt is pre-launch. The plan is for the agreed text and its co-signed history to be delivered to your contract repository or e-signature tool through the API.
